EXPERTISE

Banking & Finance

Financing terms that address the asset, the business and the position of the creditor.

The quality of a financing is tested throughout its life. Adad advises lenders, borrowers, sponsors and investors on the Qatar legal aspects of corporate, acquisition, project and real estate finance, with attention to the funding objective and the obligations that follow.

We review the facility alongside the ownership structure, underlying assets and commercial contracts. Capacity, authorisations, conditions to funding, guarantees, security and covenants are considered together, including the room the business needs to operate and the protection sought by the lender.

Our work covers conventional and Islamic financing documentation, corporate approvals and Qatar enforceability questions within the agreed mandate. On Islamic structures, we coordinate the legal documents with the transaction’s Sharia advisers. Cross-border facilities are handled in conjunction with lead finance counsel.

When circumstances change, we assess amendments, refinancing, additional funding, waivers and consensual workouts against the wider creditor position. For a contested exposure, the analysis extends to the assets, evidence and Qatar procedures relevant to recovery.

THE DECISIONS THAT MATTER

01

Availability of funds

Assess the conditions to drawdown, corporate powers, approvals and documentary dependencies before committing to the timetable.

02

Flexibility and control

Examine covenants, permitted payments, additional debt and consent rights against the borrower’s intended operations and the lender’s credit position.

03

Downside and recovery

Understand the effect of default, the security package, competing interests and the Qatar procedures relevant to enforcement.
